These Terms of Service (“Terms”) govern your access to and use of the SoftSolz website (softsolz.uk), the SoftSolz platform and apps (including app.softsolz.uk and related developer, documentation, and API surfaces), and any related services (together, the “Services”). The Services are operated by SOFTSOLZ LTD (“SoftSolz”, “we”, “us”), registered in England and Wales (Company No. 17264537). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.
SoftSolz provides a modular software platform through which businesses can enable and use services from a marketplace - which may include, from time to time, invoicing, payments, forms, customer authentication, social media publishing, knowledge/AI assistants, workflows, and other modules we add or remove. We also provide software development and consultancy services delivered by our in-house teams. We may add, change, or discontinue features or modules at any time. Some features are provided on a “coming soon” or beta basis and may change before general release.
To use the platform you must create an account and provide accurate, current information. You are responsible for safeguarding your credentials and for all activity under your account and workspace. You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract. If you use the Services on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms, and “you” includes that organisation.
Paid plans and metered features are billed through Stripe under the plan, price, and billing cycle shown at purchase. Subscriptions renew automatically until cancelled; you can cancel at any time, and access continues until the end of the current paid period. Trials convert to paid plans unless cancelled before the trial ends. Prices may change on reasonable notice. You are responsible for all applicable taxes. Where you use the Services to collect payments from your own customers (for example via Stripe Connect), you are the merchant of record for those transactions and are responsible for them.
If you are a consumer (an individual subscribing other than for the purposes of a trade, business, or profession) in the UK or EU, you have a statutory right to cancel a new subscription within 14 days for a full refund. If you ask us to start providing the Services immediately and you use them within that 14-day period, you acknowledge that your right to cancel ends once the Services have been fully performed, and that you may lose the right to a refund for the period you have already used. Outside of this statutory right, and except where otherwise required by law, fees already paid are non-refundable.

The Services let you connect accounts you control on third-party platforms (such as LinkedIn, Facebook, and Instagram) and publish or schedule content to them. You authorise such connections through each platform’s official OAuth flow, and you are solely responsible for the content you create and publish and for ensuring it complies with each platform’s terms and policies and with all applicable laws. SoftSolz acts only on your instructions to publish the content you provide. We are not affiliated with, endorsed by, or sponsored by Meta, LinkedIn, Google, Microsoft, Stripe, or any other platform; their names and marks belong to their respective owners. Those platforms may change, limit, suspend, or revoke API access or your account at any time, which may affect features through no fault of ours.
You retain ownership of the content and data you submit to the Services (“Your Content”). You grant SoftSolz a limited, worldwide, non-exclusive licence to host, process, transmit, and display Your Content solely as needed to provide the Services - including publishing it to the accounts and platforms you select. You represent that you have all rights necessary to submit and publish Your Content and that it does not infringe any third-party rights or violate any law.
If you use our APIs, embed snippets, webhooks, or developer features, you must keep your secret keys confidential, comply with documented scopes, rate limits, and security requirements, and not use them to build a competing service or to circumvent the Services. We may change, deprecate, or rate-limit API functionality, with reasonable notice where practicable. You are responsible for activity performed using your keys.
The Services, including all software, text, graphics, logos, and design, are owned by SoftSolz or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, sell, or lease any part of the Services or reverse-engineer them except to the extent the law permits. Client-specific deliverables under a software development engagement are governed by the relevant service agreement.
The Services integrate with third-party platforms and providers (including Stripe, Meta, LinkedIn, Google, Microsoft, AI providers, and hosting providers). Your use of those integrations is also subject to the third party’s own terms and privacy policies, and we are not responsible for their acts, omissions, availability, or changes. SoftSolz maintains the confidentiality of client and account information and does not share it with unauthorised third parties. Non-disclosure agreements are available for software development and consultancy engagements.
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that content will always be delivered to third-party platforms (which control their own systems). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
To the maximum extent permitted by law, SoftSolz shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total aggregate liability for any claim shall not exceed the amount you paid to SoftSolz for the relevant service in the twelve months before the claim arose.
You agree to indemnify and hold SoftSolz harmless from any claims, losses, or expenses (including reasonable legal fees) arising from Your Content, your use of the Services, your breach of these Terms, or your violation of any law or third-party platform’s terms.
You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or create risk or legal exposure for us or others, or if required by a third-party platform or law. On termination, your right to use the Services ends; sections that by their nature should survive (e.g. content licence to the extent needed to wind down, IP, disclaimers, liability, indemnity, governing law) will survive.
We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, provide more prominent notice. Continued use of the Services after an update means you accept the revised Terms.
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without regard to conflict-of-law principles. If any provision is held unenforceable, the remaining provisions remain in effect.
